|
1. General
- The SMDShop is a webshop that has the aim to make Surface Mounted Technology (SMT), and especially SMD (Surface Mounted Devices) more accessible to private customers. The SMDShop wants to sell low energy components in particular./li>
- SMDShop is an initiative of CortenLabs enregistered at chamber of commerce Amersfoort nr 32121163. Webshop Address: Zevenbergseweg 12A, 6586AJ Plasmolen, The Netherlands,
- These General Conditions are applicable to all tenders, offers and agreements, as well as to all delivered products en provided services, through the SMDShop of CortenLabs.
- Any general of specific conditions or clauses of the customer are explicitly invalid.
- Only by written agreement between CortenLabs and the Customer, these general conditions can be changed for special agreements, and will only be valid for that specific agreement.
2. Ordering and agreement
- Orders can only be accepted if the customers provides full home-address, valid email-address, the right ordernumbers and count of products to order. An order can only be placed per e-mail or through the website of the SMDShop.
- CortenLabs has the right to cancel any order without explanation, or to accept the order only under different conditions. If the order can only be accepted under different conditions, the Customers has the right to cancel the order.
- To be determined by Cortenlabs, depending on, among other things, ordersize and payment history, an order will only be delivered after payment has been received in advance.
- An agreement will only be valid after CortenLabs has accepted the order, preferably by email.
- If, and so far necessary to process the order, CortenLabs has the right to defer certain work to a third party.
3. Prices
- All prices are stated in Euro’s (€) including VAT, exclusive costs of shipment and costs of payment.
- Per order, depending of the destination, a contribution for handling and shipment will be charged.
- Prices can be changed at all times.
- Prices are valid as stated on the website of the SMDShop at the time of placing the order.
- If the orderquantity of an item exceeds what is in stock, different prices can apply for the excess.
4. Delivery
- CortenLabs has the right to deliver an order in parts. For partially deliveries, no extra costs will be charged.
- If and when an order is unexpectedly delivered incomplete or erroneous, the Customer has to report this within 7 days after reception. Only then the order will be redelivered or completed at the expense of CortenLabs, or in consultation an other solution may be considered.
- If the delivery of (a part of) an order is delayed, CortenLabs will inform the Customer within 30 days after acceptance of the order. The Customer then has the right to cancel only the delayed part of the order within 7 days by mail or email. Payments concerning the cancelled part of the order will be refunded within 30 days after cancellation.
- Promised delivery deadlines never will be binding. When changes in data and/or circumstances, whatever the foreseeability thereof, causes a delay, the delivery of the order can accordingly be delayed. When an order is delayed, the Customer has to inform CortenLabs thereof in writing, after which CortenLabs has to be given a reasonable period of time to deliver the order.
- Delayment in given delivery times, whatever the cause maybe, never gives the customer the right to claim damages of any kind.
5. Payment
- Payments will be done by bank-transfer only
- In exception, payment in cash, by cheque or by PayPal will only be possible with the permission of Cortenlabs. Additional fees may be charged for these forms of payment.
6. Right to return goods
- According to Dutch law, the Customer has the right to return delivered goods within seven (7) workingdays after receiving, accompanied by a copy of the invoice and preferrably with reason of returning. Returning has to be done in the original, undamaged packaging. Opened packages will not be accepted. Costs and risk of returning goods will be for the account of the Customer.
- When goods are returned in time and in unused, undamaged condition, CortenLabs will refund the payed price, excluding costs of handling and delivery, within 30 days after receiving the returned goods.
- When delivered goods are not returned withing seven workingdays, they will be concidered accepted.
- Explicidly excepted from right to return are:
- (goods with) software, of which the package has been opened;
- lamps, semiconductors and thelike;
- (partially) build components;
- special orders, like orders of goods not within the standard assortment of the SMDShop.
7. Liability
- CortenLabs is not liable for provided (technical) advices, typing- or formattingerrors on the website, nor for provided technical data by suppliers or producers, nor for not forseeable and reasonably not predictable bad quality of products.
- CortenLabs is not liable, nor on the basis of the law, nor from agreement, for so called continuation damage that the Customer or any third party may suffer from (the usage of) delivered products, including profit loss, company damage, loss of data or immaterial damage.
- Other than that, every liability of CortenLabs is restricted to the effectively paid amount of the relevant invoice for the goods.
8. Disagreements
- On our terms, conditions and contracts only the Dutch law is applicable.
- Disagreements are as much as possible solved in mutual consultation. If that proves to be impossible the case will be handled by a Dutch court in the Netherlands.
9. Datamanagement and privacy
- Personal data will be saved in a database of CortenLabs to be able to process orders.
- CortenLabs can use personal data for internal marketing if authorisation has been granted by the Customer.
- CortenLabs will not supply any personal data to third parties except in order to process the order.
